Memorandum
of Agreement
These are the terms of agreement between PQN
Web Page Design and
__________________________________________ (hereinafter referred
to as “client”)
1. Authorization
The above-named client is engaging PQN Web Page Design, a sole proprietor,
located at Spencer, IN, as an independent contractor for the specific project
of developing and/or improving a Website to be installed on the client's
Web space on an Internet Service Provider's computer. The client hereby
authorizes PQN Web Page Design to access this account, and authorizes the
Internet Service Provider to provide PQN Web Page Design with "write permission"
for the client's Web page directory, cgi-bin directory, and any other directories
or programs which need to be accessed for this project. The client also
authorizes PQN Web Page Design to publicize their completed Website to
Web search engines.
2. Standard Website Package Elements
PQN Web Page Design includes the following elements in their Standard
Website Package:

E-mail/phone consultation: up to one (1) hour total general Internet orientation
education, marketing strategy, Web design consultation, and helping clients
learn to use their own Web page editor

Telephone long distance charges are in addition to package rates quoted;
additional education and consultation is billed at our hourly rate

Up to 1,200 words of text per page, supplied by the client on diskette
(200 words per page approximate maximum if not supplied on diskette)

Links to internal and external pages, up to an average of twelve (12) per
page

Custom Graphics Package: masthead graphic on first page (simple custom
graphic incorporating organization logo); top-of-page graphic for all other
pages in client's Website; colorful lines and bullets, and colored or textured
background

Photos and other miscellaneous graphic images supplied by client, up to
an average of four (4) included per page in standard Websites, in addition
to masthead and top-of-page graphic

Original color images larger than 5" x 7", which must be scanned, are subject
to an extra charge

Installation of Web pages on the client's ISP/Web host server

Minor updates and changes to existing Web pages for six (6) months, up
to one (1) hour per page total (additional changes billed at hourly rate
specified in clause 4 of this agreement)

Site publicity to at least five (5) major Web search engines

E-mail response link on each Web page to any e-mail address designated
by the client
3. Client Website Package
This Website includes up to ___________ Web pages. The final content
of and specifications for the Web pages will be provided to PQN Web Page
Design by the client within ten (10) business days of final acceptance
(see clause 9 below) of the project and will be executed accordingly.
In case the client desires additional standard Web pages beyond the
original number specified above, the client agrees to pay PQN Web Page
Design $________ for each additional Web page.
Graphics or photos beyond the allowed average of four (4) per
Web page shall be billed at an additional $________ each.
Where custom graphic work (beyond the scope of the "Custom Graphics
Package" detailed above) is requested, it will be billed at the hourly
rate specified in clause 4 below.
It is understood that the total price calculated below might vary if
there are more, less, or different photos, more or fewer Web pages, or
other elements requiring special handling that are subsequently requested
and authorized in writing by the client and added to the final site by
PQN Web Page Design.
The client and PQN Web Page Design agree that the services described
covering a maximum of ____________ Web pages shall be completed for $___________,
and the first payment shall be based upon this amount. The final payment
shall reflect and include all elements and additional work authorized by
the client beyond the maximum specified above.
4. Changes to Submitted Text
Time required to make substantive changes to client-submitted text
after the Web pages have been constructed will be billed at the hourly
rate of $30.00. It is, therefore, important for the client to send final
text.
5. Completion Date
PQN Web Page Design and the client agree to work together to complete
the Website in a timely manner.
6. Warranties
The client represents to PQN Web Page Design and unconditionally guarantees
that any elements of text, graphics, photos, designs, trademarks, or other
artwork furnished to PQN Web Page Design for inclusion in Web pages are
owned by the client, or that the client has permission from the rightful
owner to use each of these elements, and will hold harmless, protect, and
defend PQN Web Page Design from any claim or suit arising from the use
of such elements furnished by the client.
7. Copyright to Compilation
Copyright to the compilation of Web pages produced for the client
is vested in PQN Web Page Design. Upon final payment of all sums due under
the terms of this agreement, the client is assigned the right to use as
a Website the design, graphics, and text contained therein. Rights to the
individual elements, photos, graphics, source code, work-up files, and
computer programs are specifically not transferred to the client, and remain
the property of their respective owners. PQN Web Page Design retains the
right to display graphics and other Web design elements in their portfolio
as examples of their work.
8. Payments
Fees to PQN Web Page Design are due and payable on the following schedule:
50% upon signing this contract. The remaining 50% is due when all work
is satisfactorily completed according to client specifications. If the
total amount is less than $300, the full sum shall be paid upon signing
this agreement.
Payments (in US funds only) must be made promptly. Delinquent bills
will be assessed a $15 charge if payment is not received within fourteen
(14) days of the due date. PQN Web Page Design reserves the right to remove
Web pages from viewing on the Internet until final payment is made.
Advertising the pages to Web search engines and updating will occur
only after the final payment is made.
9. Initial Payment and Refund Policy

This agreement becomes effective only when signed by both the client
and PQN Web Page Design and begins with an initial payment of $_____________.
All work is subject to an unconditional 30 (thirty) day money-back guarantee.
If the client halts work and applies, by registered letter to PQN Web Page
Design, for a refund within thirty (30) days following the initial payment,
work already completed will be billed at the hourly rate stated above and
deducted from the initial payment. The balance will be returned to the
client.

10. Sole Agreement
The agreement contained in this document constitutes the sole agreement
between PQN Web Page Design and the client regarding this Website. Any
additional work not specified in this contract must be authorized by a
written change order. All prices specified in this contract will be honored
for six (6) months after both parties sign this contract. Continued services
after that time will require a new agreement.
Regardless of the place of signing of this agreement, the client agrees
that for purposes of venue, this contract was entered into in Owen County,
Indiana, and any dispute will be litigated or arbitrated in Owen County,
Indiana.
The undersigned parties hereby agree to the terms stated above.
